1. Introduction

Welcome to Orika, an AI-powered engineering drawing analysis platform operated by Orika Futureworks Private Limited ("Orika," "we," "our," or "us").

These Terms & Conditions (the "Terms") govern your access to and use of:

  • Orika's websites, applications, and APIs
  • Software tools, features, and services

By using Orika, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use Orika.

2. Eligibility

To use Orika, you must:

  • Be at least 18 years old
  • Have the legal authority to enter into these Terms
  • Use Orika in compliance with applicable laws and regulations

3. Account Registration

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your login credentials
  • Notify us immediately of any unauthorized use of your account

Orika is not responsible for losses arising from unauthorized access to your account due to your actions.

4. Use of the Service

You may use Orika to upload engineering drawings and documents for AI-based analysis. You agree to use Orika only for lawful and authorized purposes.

4.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the service for its intended purposes.

4.2 Restrictions

You may not:

  • Reverse engineer, copy, or modify Orika
  • Use the service to develop competing products
  • Upload harmful, malicious, or illegal content
  • Interfere with the platform's operation or security
  • Attempt unauthorized access to the platform

5. User Content

"User Content" includes the documents, drawings, data, text, and files you upload to Orika.

5.1 Ownership

You retain all ownership rights over your User Content.

5.2 License to Process

By uploading User Content, you grant Orika a limited license to:

  • Process and analyse the content using AI
  • Store and retrieve your data
  • Provide features and services requested by you

This license is non-exclusive and restricted to the operation of the platform.

5.3 No Use for Model Training

We do not use your content to train third-party AI models unless you give explicit, separate consent.

6. Intellectual Property

All platform content—including text, software, algorithms, UI, tools, and branding—is the exclusive property of Orika and its licensors.

You may not:

  • Copy or reproduce the software
  • Create derivative works
  • Remove copyright notices

7. Payments & Subscriptions

If Orika offers paid plans:

  • Prices and features will be clearly displayed
  • Payment is processed securely by Razorpay or similar third-party payment providers

You agree to pay all applicable fees and taxes. We may suspend or terminate your access for non-payment.

8. Prohibited Conduct

You may not use Orika to:

  • Upload confidential information you do not have rights to share
  • Process illegal, export-controlled, or regulated data without authorization
  • Conduct activities that could harm Orika or its users
  • Circumvent usage limits or access controls

We reserve the right to suspend accounts violating these rules.

9. Service Availability

We strive to maintain consistent and reliable service. However, we do not guarantee:

  • Uninterrupted service
  • Error-free performance
  • Free access during system maintenance or downtime

We may update, modify, or discontinue features at any time.

10. Data Privacy

Your use of Orika is subject to our Privacy Policy, which describes:

  • What data we collect
  • How we use and store it
  • Your rights and protections

By using the service, you agree to the Privacy Policy.

11. Security

We implement industry-standard security practices to safeguard your data. You acknowledge that:

  • No system is completely secure
  • You are responsible for securing your own accounts and devices

Orika integrates with third-party providers such as AWS, Supabase, Google Cloud, OpenAI, Anthropic, and Razorpay.

We are not responsible for the policies or actions of these third parties.

13. Termination

We may suspend or terminate your access if you:

  • Violate these Terms
  • Engage in harmful or illegal activity
  • Fail to pay fees when due

Upon termination:

  • Your license to use Orika ends immediately
  • We may retain data as required by law

You may terminate your account at any time.

14. Disclaimers

Orika is provided on an "as-is" and "as-available" basis.

We disclaim all warranties, including:

  • Merchantability
  • Fitness for a specific purpose
  • Accuracy or completeness of AI outputs

Engineering decisions should not rely solely on automated analysis.

15. Limitation of Liability

To the fullest extent permitted by law:

  • Orika is not liable for indirect, incidental, or consequential damages
  • Orika's total liability is limited to the amount you paid for the service in the prior 12 months

16. Indemnification

You agree to indemnify and hold Orika harmless from claims arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your infringement of third-party rights

17. Changes to These Terms

We may update these Terms from time to time. The updated date will reflect the latest version.

Continued use of Orika after changes constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of India.

Any disputes will be resolved in the courts located in Gujarat, India.
